By accessing and using Bionoryx Restaurant Intelligence Platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Bionoryx provides Bionoryx-powered restaurant intelligence solutions including:

• Demand prediction and forecasting with intelligent insights
• Inventory optimization and waste reduction
• Staff scheduling and workforce optimization
• Revenue optimization and pricing strategies
• Customer analytics and insights
• Operational efficiency recommendations

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You agree not to use the Service for any unlawful purpose or any purpose prohibited under this clause. You may not use the Service:

• In any way that violates applicable laws or regulations
• To transmit or procure the sending of unsolicited advertising
• To impersonate or attempt to impersonate Bionoryx or any employee
• To engage in any other conduct that restricts or inhibits anyone's use
• To attempt to gain unauthorized access to any part of the Service

Payment terms for our subscription services:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change our fees with 30 days' notice
• Failure to pay may result in service suspension
• You are responsible for all applicable taxes

The Service and its original content, features, and functionality are owned by Bionoryx and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your restaurant data and content. By using the Service, you grant Bionoryx a limited license to use your data to provide the Service and improve Bionoryx algorithms.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You acknowledge that:

• We may process your data to provide Bionoryx insights and recommendations
• Your data may be used to improve Bionoryx algorithms
• We implement appropriate security measures to protect your data
• You have rights regarding your personal data as outlined in our Privacy Policy

We strive to maintain high service availability but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical difficulties or system failures
• Force majeure events beyond our control
• Third-party service disruptions

We will make reasonable efforts to minimize downtime and provide advance notice when possible.

The Service is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding accuracy, reliability, or completeness
• Warranties that the Service will be uninterrupted or error-free

Either party may terminate this agreement at any time:

• You may cancel your subscription through your account settings
• We may suspend or terminate your account for violations of these Terms
• Termination does not relieve you of payment obligations for services already provided
• Upon termination, your access to the Service will cease

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Delaware.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Posting the updated Terms on our website
• Sending email notifications to registered users
• Displaying notices within the Service

Continued use of the Service after changes constitutes acceptance of the new Terms.
